1. Account Terms

By creating an account on GrantKit, you agree to the following:

• Age Requirement: You must be at least 18 years old to use this service. By creating an account, you represent that you are at least 18 years of age.
• Accurate Information: You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
• Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• One Account: You may not create multiple accounts for the purpose of circumventing plan limits or for any other reason.

2. Acceptable Use

You agree to use GrantKit only for lawful purposes. You may not:

• Use the service for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to our systems or other users' accounts
• Transmit any malware, viruses, or malicious code
• Interfere with or disrupt the service or servers connected to the service
• Use the service to send spam or unsolicited communications
• Abuse, harass, threaten, or intimidate other users
• Scrape, crawl, or use automated means to access the service without our permission
• Reverse engineer, decompile, or attempt to extract the source code of our software
• Use the service to store or transmit content that infringes on others' intellectual property rights

3. Payment Terms

For paid subscription plans:

• Billing Cycle: Subscriptions are billed monthly in advance. Your subscription will automatically renew each month unless cancelled.
• Payment Processing: All payments are processed securely through Stripe. We do not store your full credit card details.
• Price Changes: We reserve the right to change our prices. Any price changes will be communicated in advance and will take effect on your next billing cycle.
• Refunds: Refunds are handled on a case-by-case basis. If you are unsatisfied with the service, please contact us at support@grantkit.org within 30 days of your payment.
• Failed Payments: If payment fails, we may suspend access to paid features until payment is received.
• Cancellation: You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to paid features until the end of your current billing period.

4. Service Availability

We strive to provide reliable service, but we cannot guarantee uninterrupted availability:

• Best Effort: GrantKit is provided on a "best effort" basis. We do not guarantee that the service will be available 100% of the time.
• Maintenance: We may perform scheduled or unscheduled maintenance that could temporarily affect service availability.
• Modifications: We reserve the right to modify, suspend, or discontinue any part of the service at any time, with or without notice.
• Data Backup: While we take measures to protect your data, you are responsible for maintaining your own backups. We recommend regularly exporting your grant data.

5. Intellectual Property

Our Content: GrantKit, including its design, features, and content, is owned by us and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or distribute our content without permission.

Your Content: You retain ownership of any data you input into GrantKit, including grant information, notes, and documents. By using the service, you grant us a limited license to store, process, and display your content solely for the purpose of providing the service.

6. Limitation of Liability

To the maximum extent permitted by law:

• GrantKit is provided "as is" and "as available" without warranties of any kind, either express or implied.
• We do not warrant that the service will meet your requirements, be error-free, or that any defects will be corrected.
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service.
• Our total liability for any claim arising from these terms or your use of the service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
• We are not responsible for any missed grant deadlines, lost funding opportunities, or decisions made based on information in the service.

7. Indemnification

You agree to indemnify and hold harmless GrantKit and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the service, your violation of these terms, or your violation of any rights of another party.

8. Termination

We reserve the right to terminate or suspend your account at any time, with or without cause, and with or without notice. Reasons for termination may include:

• Violation of these Terms of Service
• Engaging in fraudulent or illegal activity
• Abuse of the service or other users
• Non-payment of subscription fees
• Extended periods of inactivity

Upon termination, your right to use the service will immediately cease. We may delete your data in accordance with our data retention policies. You may also terminate your account at any time through your account settings.

9. Dispute Resolution

Any disputes arising from these terms or your use of GrantKit shall be resolved through good faith negotiation. If we cannot reach a resolution, disputes shall be settled through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive any right to a jury trial or to participate in a class action lawsuit.

10. Governing Law

These terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

11. Changes to These Terms

We may update these Terms of Service from time to time. We will notify you of any material changes by posting the new terms on this page and updating the "Effective Date" at the top. Your continued use of the service after any changes constitutes acceptance of the new terms. We encourage you to review these terms periodically.
